WEBSITE TERMS OF USE

The website located at allcode.com and any related websites, applications, services, artificial intelligence tools, workshops, content, and online resources that link to these Terms are copyrighted works belonging to MobileAWS, LLC d/b/a AllCode (“Company,” “AllCode,” “us,” “our,” or “we”). Certain features, products, services, workshops, consulting engagements, or platforms may be subject to additional agreements, statements of work, order forms, guidelines, terms, or rules, which are incorporated by reference into these Terms.

THESE TERMS OF USE (“TERMS”) SET FORTH THE LEGALLY BINDING TERMS AND CONDITIONS THAT GOVERN YOUR USE OF THE SITE AND SERVICES. BY ACCESSING OR USING THE SITE OR SERVICES, YOU ACCEPT THESE TERMS ON BEHALF OF YOURSELF OR THE ENTITY THAT YOU REPRESENT, AND YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THESE TERMS. YOU MAY NOT ACCESS OR USE THE SITE OR SERVICES IF YOU ARE NOT AT LEAST 18 YEARS OLD. IF YOU DO NOT AGREE WITH THESE TERMS, DO NOT ACCESS OR USE THE SITE OR SERVICES.

THESE TERMS REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS, AND LIMIT THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.

1. ACCOUNTS

1.1 Account Creation. In order to use certain features of the Site or Services, you may be required to register for an account (“Account”) and provide certain information. You represent and warrant that all registration information you submit is truthful, accurate, and current, and that you will maintain the accuracy of such information.

1.2 Account Responsibilities. You are responsible for maintaining the confidentiality of your Account login information and for all activities that occur under your Account. You agree to immediately notify AllCode of any unauthorized use or suspected unauthorized use of your Account or any other breach of security. AllCode will not be liable for any loss or damage arising from your failure to comply with these requirements.

2. ACCESS TO THE SITE AND SERVICES

2.1 License. Subject to these Terms, AllCode grants you a non-transferable, non-exclusive, revocable, limited license to access and use the Site and Services solely for your internal business or personal use, as applicable, and in accordance with these Terms.

2.2 Restrictions. You shall not: (a) license, sell, rent, lease, transfer, assign, distribute, host, or commercially exploit the Site or Services except as expressly authorized; (b) modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Site or Services; (c) access the Site or Services to build a similar or competitive product or service; (d) copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Site except as expressly permitted; (e) interfere with or disrupt the integrity or performance of the Site or Services; or (f) use the Site or Services in violation of applicable law or third-party rights.

2.3 Modification. AllCode reserves the right to modify, suspend, or discontinue the Site or Services, in whole or in part, with or without notice. AllCode will not be liable to you or any third party for any modification, suspension, or discontinuation.

2.4 Support. Unless expressly stated in a separate written agreement, AllCode has no obligation to provide support, maintenance, service levels, or updates for the Site or Services.

2.5 Ownership. Excluding User Content, AllCode and its suppliers own all rights, title, and interest in and to the Site, Services, content, software, technology, templates, frameworks, methodologies, documentation, designs, workflows, AI configurations, prompts, tools, and related intellectual property. No rights are granted except as expressly set forth in these Terms.

3. USER CONTENT AND CUSTOMER DATA

3.1 User Content.User Content” means information, data, content, files, code, prompts, queries, documents, text, images, feedback, instructions, or other materials that you submit to, upload to, or use with the Site or Services. You are solely responsible for your User Content and represent and warrant that you have all rights, permissions, and authority necessary to provide such User Content to AllCode.

3.2 License to User Content. You grant AllCode a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, reproduce, modify, and use User Content solely as necessary to provide, secure, maintain, support, and improve the Site and Services, fulfill customer requests, perform professional services, comply with law, and enforce these Terms or applicable agreements.

3.3 Sensitive Data. Unless expressly agreed in writing, you shall not submit protected health information, payment card data, government identification numbers, biometric information, children’s data, sensitive personal information, regulated financial information, export-controlled data, or other restricted information to the Site or Services. If a project requires handling sensitive or regulated data, the parties must enter into appropriate written agreements before such data is provided.

4. ARTIFICIAL INTELLIGENCE SERVICES

4.1 AI Features and Services. AllCode may provide services involving artificial intelligence, machine learning, large language models, generative AI, AI agents, code generation tools, automation tools, and third-party AI platforms, including cloud-based AI services (“AI Services”). AI Services may generate, summarize, classify, analyze, transform, or otherwise process User Content to produce outputs (“AI Outputs”).

4.2 AI Outputs. AI Outputs may be inaccurate, incomplete, offensive, biased, or unsuitable for a particular purpose. You are solely responsible for reviewing, validating, testing, and approving AI Outputs before relying on them or using them in production, public, customer-facing, legal, medical, financial, employment, security, safety-critical, or other high-impact contexts.

4.3 No Professional Advice. AI Outputs and related Services do not constitute legal, medical, financial, tax, employment, security, compliance, or other professional advice. You should consult qualified professionals before making decisions based on AI Outputs.

4.4 Third-Party AI Providers. AllCode may use third-party AI providers, cloud providers, model providers, software platforms, APIs, and infrastructure providers to deliver AI Services. Your use of AI Services may be subject to third-party provider terms, usage policies, rate limits, data processing terms, and acceptable use policies. AllCode is not responsible for third-party services except as expressly stated in a separate written agreement.

4.5 Training and Model Improvement. AllCode does not intentionally use customer confidential information submitted through paid professional services to train public AI models unless expressly authorized by the customer or permitted under an applicable written agreement. AllCode may use aggregated, anonymized, or de-identified information to improve its services, processes, documentation, and internal operations, provided such information does not reasonably identify you or your organization.

4.6 Customer Responsibilities for AI Use. You are responsible for: (a) ensuring that User Content provided to AI Services may lawfully be processed; (b) obtaining all necessary consents and rights; (c) implementing appropriate human review and oversight; (d) complying with applicable laws and industry requirements; (e) evaluating AI Outputs for accuracy, safety, and suitability; and (f) ensuring that your use of AI Services does not violate these Terms or third-party provider policies.

5. ACCEPTABLE USE POLICY

You agree not to use the Site or Services to collect, upload, transmit, display, generate, distribute, or otherwise process any User Content or AI Output that:

  • violates any law, regulation, contract, third-party right, intellectual property right, privacy right, or right of publicity;
  • is unlawful, harassing, abusive, threatening, harmful, defamatory, deceptive, fraudulent, obscene, hateful, discriminatory, or otherwise objectionable;
  • is harmful to minors or exploits, abuses, or endangers children;
  • contains malware, viruses, worms, malicious code, or software intended to damage, disrupt, or gain unauthorized access to systems or data;
  • facilitates phishing, fraud, impersonation, credential theft, social engineering, spam, unsolicited messaging, or deceptive activity;
  • attempts to bypass security controls, rate limits, access controls, content filters, model safety systems, or usage restrictions;
  • is used to create, improve, or deploy competing models, products, or services in violation of these Terms or applicable agreements;
  • is used for high-risk decisions without appropriate human oversight, including decisions related to employment, credit, housing, insurance, healthcare, legal rights, or access to essential services; or
  • violates the acceptable use policies of any third-party AI, cloud, messaging, communications, or platform provider used in connection with the Services.

In addition, you agree not to interfere with the Site or Services, scrape or mine data except as permitted by law, create accounts through automated means, impose an unreasonable burden on infrastructure, or attempt to gain unauthorized access to any system, account, network, or data.

6. ENFORCEMENT

AllCode reserves the right, but has no obligation, to review User Content, investigate potential violations, suspend or terminate access, remove or modify content, restrict usage, report unlawful activity, and take other appropriate action if AllCode believes you have violated these Terms, applicable law, third-party provider policies, or created risk or liability for AllCode or others.

7. FEEDBACK

If you provide AllCode with feedback, suggestions, recommendations, ideas, or comments regarding the Site, Services, AI Services, or business operations (“Feedback”), you grant AllCode a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, modify, distribute, commercialize, and otherwise exploit such Feedback without restriction or compensation. Feedback will be treated as non-confidential and non-proprietary.

8. PROFESSIONAL SERVICES AND DELIVERABLES

AllCode may provide consulting, software development, cloud architecture, managed services, workshops, AI development, automation, and related professional services under separate statements of work, order forms, proposals, or agreements. In the event of a conflict between these Terms and a signed written agreement governing professional services, the signed written agreement will control solely with respect to those services.

Unless otherwise agreed in writing, AllCode retains ownership of its pre-existing intellectual property, tools, frameworks, templates, code libraries, methodologies, know-how, reusable components, prompts, configurations, and general skills or knowledge. Customer ownership of project-specific deliverables, if any, will be governed by the applicable written agreement.

9. INDEMNIFICATION

You agree to indemnify and hold harmless AllCode and its officers, employees, contractors, agents, affiliates, and suppliers from any claim, demand, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) your use of the Site or Services; (b) your User Content; (c) your AI Outputs or use of AI Outputs; (d) your violation of these Terms; (e) your violation of applicable laws, regulations, or third-party rights; or (f) your violation of third-party provider terms or acceptable use policies.

10. THIRD-PARTY LINKS AND SERVICES

The Site and Services may contain links to or integrations with third-party websites, advertisements, platforms, cloud services, AI providers, APIs, software tools, or other services. AllCode does not control and is not responsible for third-party services. Your use of third-party services is at your own risk and may be subject to third-party terms and privacy policies.

11. DISCLAIMERS

THE SITE, SERVICES, AI SERVICES, CONTENT, AND AI OUTPUTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLCODE AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, NON-INFRINGEMENT, AVAILABILITY, RELIABILITY, SECURITY, AND ERROR-FREE OPERATION.

ALLCODE DOES NOT WARRANT THAT THE SITE, SERVICES, AI SERVICES, OR AI OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, SECURE, UNINTERRUPTED, ERROR-FREE, FREE OF HARMFUL CODE, OR SUITABLE FOR YOUR PURPOSES. YOU ACKNOWLEDGE THAT AI OUTPUTS MAY CONTAIN ERRORS, OMISSIONS, BIASES, OR FABRICATED INFORMATION AND THAT YOU ARE RESPONSIBLE FOR INDEPENDENTLY REVIEWING AND VALIDATING SUCH OUTPUTS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ALLCODE OR ITS SUPPLIERS BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, PROCUREMENT OF SUBSTITUTE SERVICES, LOSS OF GOODWILL, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS, THE SITE, SERVICES, AI SERVICES, USER CONTENT, OR AI OUTPUTS, EVEN IF ALLCODE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLCODE’S TOTAL LIABILITY ARISING FROM OR RELATING TO THESE TERMS, THE SITE, OR SERVICES WILL NOT EXCEED THE GREATER OF FIFTY U.S. DOLLARS (US $50) OR THE AMOUNT YOU PAID TO ALLCODE FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. TERM AND TERMINATION

These Terms remain in effect while you use the Site or Services. AllCode may suspend or terminate your access to the Site or Services, including your Account, at any time and for any reason, including if AllCode believes you have violated these Terms, applicable law, or third-party provider policies. Upon termination, your right to access and use the Site and Services will immediately cease. AllCode will not be liable for any suspension, termination, or deletion of User Content. Provisions that by their nature should survive termination will survive, including ownership, restrictions, AI disclaimers, indemnification, limitations of liability, dispute resolution, and general provisions.

14. COPYRIGHT POLICY

AllCode respects the intellectual property rights of others and asks users to do the same. If you believe that material available through the Site or Services infringes your copyright, you may submit a written notification pursuant to 17 U.S.C. § 512(c) that includes:

  1. your physical or electronic signature;
  2. identification of the copyrighted work claimed to have been infringed;
  3. identification of the material claimed to be infringing and sufficient information to locate it;
  4. your address, telephone number, and email address;
  5. a statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and
  6. a statement that the information in the notification is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on behalf of the copyright owner.

Please note that under 17 U.S.C. § 512(f), any misrepresentation of material fact in a notification may subject the complaining party to liability for damages, costs, and attorneys’ fees.

15. CHANGES TO THESE TERMS

AllCode may revise these Terms from time to time. If we make material changes, we may notify you by posting notice on the Site or by sending notice to the email address you provided. Changes will be effective when posted unless otherwise stated. Continued use of the Site or Services after changes become effective constitutes acceptance of the revised Terms.

16. DISPUTE RESOLUTION

16.1 Arbitration Agreement. Please read this section carefully. It requires mandatory binding arbitration and a class action waiver. All claims and disputes arising out of or relating to these Terms or the use of any product or service provided by AllCode that cannot be resolved informally or in small claims court shall be resolved by binding arbitration on an individual basis, except as otherwise stated below.

16.2 Notice Requirement and Informal Resolution. Before either party seeks arbitration, the party must first send a written notice of dispute describing the nature and basis of the claim and requested relief. Notices to AllCode must be sent to: MobileAWS LLC d/b/a AllCode, 101 Montgomery Street, Suite 905, San Francisco, CA 94104. The parties will attempt to resolve the dispute informally for thirty (30) days after notice is received.

16.3 Arbitration Rules. Arbitration shall be administered by the American Arbitration Association (“AAA”) under its applicable rules. If AAA is unavailable, the parties shall select an alternative arbitration provider. The arbitration shall be conducted by a single neutral arbitrator and held in English. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

16.4 Waiver of Jury Trial. YOU AND ALLCODE WAIVE ANY CONSTITUTIONAL OR STATUTORY RIGHT TO GO TO COURT AND HAVE A TRIAL BEFORE A JUDGE OR JURY, except as expressly provided in this section.

16.5 Class Action Waiver. ALL CLAIMS AND DISPUTES MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED BASIS.

16.6 Exceptions. Either party may bring an individual action in small claims court. Either party may seek emergency equitable relief to protect intellectual property, confidential information, systems, data, or security. Claims for infringement or misappropriation of intellectual property or trade secrets are not subject to mandatory arbitration.

16.7 Venue. In any circumstances where these Terms permit litigation in court, the parties submit to the personal jurisdiction and venue of the state and federal courts located in San Francisco County, California.

17. EXPORT COMPLIANCE

The Site, Services, software, technical data, AI Services, and deliverables may be subject to U.S. export control, sanctions, and import laws. You agree not to export, reexport, transfer, or use any technology, software, data, or services in violation of applicable export control or sanctions laws.

18. ELECTRONIC COMMUNICATIONS

Communications between you and AllCode may occur electronically. You consent to receive communications from AllCode electronically, and you agree that electronic communications satisfy any legal requirement that such communications be in writing.

19. CALIFORNIA DISCLOSURES

If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

20. GENERAL

These Terms constitute the entire agreement between you and AllCode regarding use of the Site and Services, except to the extent a separate written agreement applies. Our failure to exercise or enforce any right or provision will not operate as a waiver. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect. The word “including” means “including without limitation.” You may not assign these Terms without AllCode’s prior written consent. AllCode may freely assign these Terms. These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
